1. Agreement to terms
These Terms of Service (“Terms”) form a binding agreement between you and Local Foundry Inc. (“LineLedger,” “we,” “us”) governing your access to and use of the LineLedger websites at lineledger.ca and lineledger.com (the “Site”), together with our Privacy Policy, which is incorporated by reference. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms do not govern the LineLedger software. LineLedger is open source software released under the GNU Affero General Public License v3 (“AGPLv3”). You download it and run it on infrastructure you control, and your rights in it come from the AGPLv3 — not from this document. See section 4.
2. What this Site is
The Site is marketing and documentation: descriptions of the software, comparison and reference pages, installation instructions, a contact form, and a public feature-request board. It is not an application, and you cannot keep books on it.
There is no hosted service and no account. We do not operate a LineLedger instance for you, we do not sell subscriptions, and we have no login. Everything on the Site is available without signing up for anything.
3. Your use of the Site
You agree not to:
- Use the Site to violate any law or the rights of any third party.
- Disrupt, overload, or impair the Site or the servers or networks that deliver it.
- Attempt to gain unauthorized access to any system or data.
- Probe or scan our infrastructure. You are of course free to study, modify, and redistribute the AGPLv3 software itself under that license — that is the point of publishing it.
- Scrape or systematically extract content from the Site beyond ordinary indexing.
- Submit unlawful, misleading, or malicious content through the contact form or the feature-request board.
We may remove content from the request board, or block access to the Site, if this section is breached.
4. The software, the license, and our trademarks
The LineLedger application is made available as open source under the AGPLv3 — see the LICENSE for the full terms and your rights, including the right to run, study, modify, and redistribute the software.
The AGPLv3 governs the software; these Terms govern this Site. Nothing in these Terms grants you any right in the source code beyond what the AGPLv3 provides, and nothing in the AGPLv3 grants you any right in this Site, our infrastructure, or our trademarks and brand.
Your install is yours. Once you have downloaded and installed LineLedger, it runs on your infrastructure and under your control. We do not administer it, cannot access it, and cannot disable it. We have no ability to revoke your copy or your license to it.
Trademarks. “Line Ledger,” “LineLedger,” the LineLedger logo, and related marks are trademarks of Local Foundry Inc. The AGPLv3 covers the source code only and does not grant any right to use the LineLedger marks. If you fork the software or run it as a service for others, you must remove or replace the LineLedger name and branding and may not use our marks in a way that suggests affiliation or endorsement, except as permitted by applicable fair-use or trademark law.
Feedback. If you send us suggestions or feedback — through the contact form, the request board, or the public repository — you grant us a non-exclusive, royalty-free, perpetual license to use it to improve the software, without obligation to you.
5. Your data
Your books never reach us. LineLedger runs entirely on your own server, so your accounting records, contacts, and documents stay on infrastructure you control. We have no copy of them, no access to them, and no ability to produce them — for you, for a regulator, or for anyone else.
The only information we hold is what you deliberately send to this Site: a message through the contact form, a post on the request board, or the analytics described in our Privacy Policy.
You are responsible for your own backups. Because we hold nothing, there is nothing for us to restore. LineLedger includes an export-to-ZIP backup feature; keeping current copies, protecting your APP_KEY, and testing your restores are entirely your responsibility.
6. Not professional advice
LineLedger is software that helps you keep records and prepare information. It is not a substitute for professional accounting, bookkeeping, tax, payroll, audit, or legal advice, and using it does not create an accountant-client or other professional relationship. LineLedger is not your accountant, bookkeeper, tax preparer, or auditor.
You are solely responsible for:
- The accuracy, completeness, and legality of the data you enter and of the records, reports, financial statements, returns, and forms you generate.
- Determining and meeting your own tax, payroll, regulatory, reporting, and filing obligations — including, where applicable, sales tax / GST / HST / PST, source deductions and year-end payroll filings, T-slips, and US Form 1099 / W-9 collection and filing. The software may help you prepare calculations and forms, but it does not file on your behalf and does not guarantee that any calculation, form, or filing is correct, complete, or accepted by any tax or government authority.
- Keeping your install patched and its tax rates current. Rates and rules change; because you run the software, applying updates is your responsibility.
We do not warrant that tax rates, calculations, or rules built into the software are error-free or current. You should review its outputs and consult a qualified accountant, tax advisor, or lawyer before relying on them or making a filing.
AI features. Some optional features let you ask questions about your data through an AI assistant. These are off unless you configure them with your own provider credentials. AI-generated answers are informational only, may be incomplete or inaccurate, and must be independently verified by a qualified person before you rely on them for any financial, tax, or filing decision.
7. Third-party services
This Site relies on a small number of third parties to function — hosting, a content-delivery and bot-protection provider, an analytics provider, and a transactional email provider. We list them, what they do, and where they operate on our Sub-processors page.
Your own install may connect to third parties too — a payment processor so your customers can pay your invoices, a mail provider, an object store, an AI provider. Those are your integrations, configured with your credentials, under your agreements with those providers. We are not a party to them and have no visibility into them.
8. Site availability and changes
We provide the Site on an “as is” and “as available” basis. We may modify, add, or remove pages and content, perform maintenance, or temporarily take the Site down. We do not guarantee any specific uptime.
Nothing about the Site affects your install. If this Site went offline permanently, your LineLedger instance would keep running exactly as before: it does not check in with us, does not require a license server, and does not depend on us in any way.
Development is not guaranteed. We may change the direction of the software, slow down, or stop working on it entirely, without notice and without liability to you. Your remedy is the one the AGPLv3 gives you: the source code, and the right to maintain or fork it yourself.
9. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Site and the software are provided without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted or error-free operation. The software is provided free of charge and used entirely at your own risk. Some jurisdictions, including parts of Canada, do not allow the exclusion of certain warranties — in those cases, the exclusions above apply to the fullest extent permitted, and you may have additional statutory rights that these Terms do not override.
Warranty disclaimers applicable to the software itself are set out in the AGPLv3 (sections 15 and 16) and apply in addition to this section.
10. Limitation of liability
To the maximum extent permitted by applicable law, LineLedger and its contributors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Site or the software, even if we have been advised of the possibility of such damages.
Loss of or damage to your data. Your data lives on your infrastructure, and you alone control its storage, security, and backups. To the maximum extent permitted by applicable law, we have no liability for loss of, corruption of, deletion of, or inability to access data held on your own systems, however the claim is characterized.
Because we charge you nothing, our total aggregate liability to you for any and all claims relating to the Site or the software will not exceed CAD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including for gross negligence, willful misconduct, or fraud.
11. Indemnification
You agree to defend, indemnify, and hold harmless LineLedger and its contributors from and against any claims, damages, losses, and reasonable costs (including reasonable lawyers’ fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Site or the software; (c) the data you process with your own install; or (d) your violation of any law or third-party right.
12. Governing law, arbitration, and dispute resolution
Governing law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting a formal proceeding, you agree to contact us at hello@lineledger.ca or hello@lineledger.com and give us at least 30 days to resolve the dispute informally. Most concerns can be resolved this way.
Binding arbitration. Except for the carve-outs below, any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by final and binding arbitration on an individual basis, rather than in court. The arbitration will be administered by the ADR Institute of Canada under its Arbitration Rules, seated in Vancouver, British Columbia, conducted in English before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator has authority to decide the interpretation and scope of this arbitration agreement, except for the class-action waiver below, which only a court may decide.
Class-action waiver. To the maximum extent permitted by applicable law, you and LineLedger each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim or remedy, then that claim or remedy (and only that one) will be severed and may proceed in court, while all remaining claims continue in arbitration.
Carve-outs. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Court venue. For any dispute that is not subject to arbitration, you and LineLedger submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
Non-waivable consumer rights. Nothing in this section removes any non-waivable right that applicable consumer-protection law in your jurisdiction guarantees you — including, where such law so provides, the right to bring proceedings in your local courts or to participate in collective proceedings. Where a mandatory consumer-protection law conflicts with the arbitration or class-action terms above, that law prevails to the extent of the conflict.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will post the revised Terms here and update the “Last updated” date above. Your continued use of the Site after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.
Changes to these Terms have no effect on software you have already downloaded: the AGPLv3 grant that came with your copy is irrevocable and is not altered by anything on this page.
14. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and LineLedger regarding the Site and supersede any prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets. Headings are for convenience only and do not affect interpretation. Notices to us should be sent to hello@lineledger.ca or hello@lineledger.com.
Sections that by their nature should survive — including Your Data, Not Professional Advice, Intellectual Property and Trademarks, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and this section — survive any termination of your use of the Site.
